Legal Advisor
We are creating a strategic Legal Advisor position to support Lareau’s transformation and accompany our growth. By joining a dynamic multi‑entity structure, you will have the opportunity to build a solid and proactive legal function while working on complex and diverse matters such as resolutions, corporate reorganizations, tax issues, and regulatory compliance within the insurance sector.
Reporting directly to the Vice President of Finance, you will hold an influential role offering significant decision‑making latitude, close proximity to senior leadership, and exposure to strategic issues. This position represents a unique opportunity for a legal professional looking to broaden their expertise, take on leadership responsibilities, and contribute to structuring projects within a rapidly expanding organization.
Your responsibilities
Governance and corporate documentation
- Maintain the minute books for all corporate entities within the group.
- Manage and maintain the consolidated cap table and ensure alignment with government registries.
- Implement and maintain an internal legal document management system.
Resolutions and corporate instruments
- Draft annual resolutions: dividends, approval of financial statements, election of directors for all shareholder companies.
- Draft and review shareholder agreements, intercompany loan agreements, and standard commercial contracts.
- Participate in business or asset acquisition and divestiture transactions.
Corporate and tax reorganizations
- Support complex corporate reorganizations: estate freezes, family trusts, rollovers, mergers, liquidations.
- Collaborate with tax specialists and accountants on the drafting and review of annual tax memos.
Litigation and insurance claims
- Monitor active litigation files.
- Coordinate insurance claims with insurers and external litigators.
Employment law support and advisory
- Act as legal advisor to management and the HR team on sensitive matters and review certain prepared documents.
- Provide support to the HR team in the context of employment‑related claims and litigation.
Regulatory compliance
- Coordinate the annual renewal of damage insurance firm permits and individual representative licenses with the AMF, ensuring compliance with regulatory deadlines.
- Maintain and update internal policies required by the AMF (compliance policy, code of conduct, conflict‑of‑interest management).
- Keep mandatory regulatory registers up to date and ensure their availability for inspections or investigations.
- Manage disciplinary files or AMF investigations.
- Ensure ongoing compliance with the Act respecting the distribution of financial products and services (LDPSF) and inform management of any regulatory changes.
Your skills and potential
- 5 to 10 years of experience in corporate and transactional law, ideally in a boutique firm or corporate environment.
- Bachelor of Laws and membership in the Quebec Bar Association (mandatory).
- Relevant experience in private‑company taxation and Quebec employment law.
- Familiarity with AMF / LDPSF regulations, a strong asset.
- Strong autonomy and interpersonal skills to effectively exercise influence.
- Impeccable rigor and strong organizational abilities to manage multiple files simultaneously.
- Bilingualism (French and English) to collaborate daily with partners in both languages is an asset.
